Chris Kropka runs a varied real estate and corporate/commercial practice that embraces the purchase, sale and financing of commercial real estate, loan transactions, property development, commercial leasing, the purchase and sale of companies and the establishment of joint ventures and limited partnerships. Chris also has extensive experience in the establishment and governance of corporations, including drafting shareholder agreements, addressing shareholder disputes and corporate restructurings.
Throughout his career, Chris has acted in numerous purchase and sale transactions covering a wide variety of property types from industrial, commercial, retail, multi-unit residential, tourism and lodging, and seniors residences to agricultural and timber lands. He has extensive experience, throughout his entire career, in representing non-resident investors in real estate purchase and sale transactions, real estate development projects and in the acquisition or financing of businesses.
Chris has extensive experience in a variety of land transactions and commercial and residential developments including condominiums, shopping centres and industrial, office and medical buildings, nursing and retirement homes and in preparing and negotiating all related agreements such as reciprocal easement and access agreements, cost sharing agreements, use restrictions, development agreements, construction management agreements and rezoning applications.
Chris’ practice includes helping clients create the legal structures they need to carry out their business plans. In this regard, he has extensive experience in drafting limited partnership agreements for syndications of real estate portfolios and development projects, creating corporate structures and preparing and negotiating the necessary ancillary agreements, such as shareholder agreements and joint venture agreements.
Chris has extensive experience in representing both lenders and borrowers in commercial real estate loan transactions. He has represented a variety of foreign and domestic lenders and borrowers in connection with a variety of lending arrangements including fixed term single asset loans, secured credit facilities, development/construction loans and participation loans.
Chris has many years of extensive experience in commercial real estate leasing and the enforcement of commercial leases. He represents various landlords and management companies in his leasing practice. He regularly negotiates and prepares a variety of leasing arrangements, including land leases, design/build leases for developers, and retail, office and industrial leases and various related leasing documentation. In addition, he regularly counsels landlords and property management companies as to a wide variety of commercial tenancy issues, and drafts all related contracts and other documents in connection with matters such as the resolution of disputes with tenants.
Chris is a skilled negotiator and also has an astute business sense which is much valued by his clients. He is able to clearly understand the business side of a transaction or problem and, based on this, devise and implement the appropriate legal solutions.
